Make the right commitment. Prepare what comes next.
Assess acquisitions and partnerships involving Vietnam and China, connecting strategic fit with commercial evidence and practical transition priorities.
Connect the investment thesis with execution.
Cross-border opportunities combine strategic ambition with questions about commercial fit, counterparties, information and the future operating model. A structured process helps leadership see which assumptions need to hold before making a commitment.
We help organise the commercial work and decision process around an agreed objective. Specialist advice remains with the relevant advisors, while practical coordination connects findings, outstanding conditions and the priorities for a possible transition.
STRATEGY BEFORE STRUCTURE
A transaction is a means to a business objective.
An acquisition, minority investment or partnership can open a route to capabilities, customers or a local operating platform. The starting point is not the transaction format. It is a clear view of what the business needs, the alternatives available and the conditions under which a commitment makes sense.
Build through an existing platform
Define the capabilities and market access sought from a target. Examine how the proposed business fits the buyer's strategy and what may be difficult to integrate.
Key questions include customer and supplier dependencies, management continuity, information quality and the difference between stand-alone potential and buyer-specific assumptions.
Align interests before committing
A minority investment depends on more than a promising market. The commercial thesis needs to connect with governance expectations, information access and the practical role of each shareholder.
We help organise the questions leadership needs to resolve with the company and its specialist advisors.
Create a workable relationship
Assess whether a joint venture, commercial alliance or distribution partnership offers a credible way to achieve the intended objective.
Consider contributions, incentives, decision rights, operating interfaces and how the relationship would respond if assumptions change.
CONNECT THE WORKSTREAMS
From a strategic brief to an organised process.
Transaction progress depends on clear priorities, reliable information and timely decisions. We can support the commercial and coordination work within an agreed mandate, working alongside the client's legal, financial, tax and other specialist advisors.
Explore commercial due diligence ↗
Opportunity definition
Translate strategy into a target or partner brief: activities, capabilities, geographic fit, scale, exclusions and the assumptions requiring early validation.
Target and partner assessment
Compare potential opportunities against explicit criteria. Record evidence, access limitations and the questions that must be addressed before a deeper assessment.
Commercial preparation
Organise the business rationale, initial information requests and discussion agenda. Distinguish management aspirations from an evidence-supported commercial thesis.
Diligence coordination
Track requests, responsibilities, findings and unresolved issues across advisors. Surface contradictions and dependencies that require a management decision.
Decision support
Bring commercial findings together with specialist input. Make assumptions, alternatives and outstanding conditions visible to the decision-makers.
Transition planning
Identify the operational priorities for a possible handover or partnership launch, including customer continuity, management roles, supplier interfaces and reporting.
PROGRESS WITH PURPOSE
Four gates, not a promise of completion.
A transaction may pause, change structure or stop as evidence develops. An agreed sequence helps avoid committing resources before the essential questions have been resolved.
Define fit
Agree the strategic objective, alternatives, selection criteria and early exclusions.
Decision: is this opportunity worth further work?
Test the thesis
Assess the commercial logic and identify the required specialist diligence.
Decision: what evidence and access are needed?
Resolve conditions
Evaluate findings, unresolved risks and dependencies with the relevant advisors.
Decision: what must be resolved before commitment?
Prepare transition
Assign owners for the operating priorities and dependencies after a possible completion.
Decision: who will make the plan work?

Immediate operating requirements, responsible owners and a proposed review cadence.
Case Study
Acquire a distributor or build a route to market?
Imagine an industrial supplier comparing a Vietnamese distributor acquisition with a new commercial operation. The proposed acquisition offers an established customer base, but the buyer needs to understand relationship continuity and the changes required to support its product range.
- Compare the acquisition thesis with a build alternative.
- Test customer access, portfolio fit and management dependencies.
- Coordinate questions for legal, financial and tax diligence.
- Define a possible transition plan before committing.
Illustrative outputs could include an opportunity assessment and a transition priorities memorandum. This scenario does not describe an actual transaction, client or result.

BEFORE THE FIRST DISCUSSION
Clarify the mandate.
Can an engagement begin before a target is identified?
Yes. A strategy-led brief can define what a target or partner should contribute and how opportunities will be assessed. Any identification work, access expectations and exclusions should be agreed explicitly.
Can you work alongside our existing advisors?
Yes. Clear interfaces reduce duplication. The engagement should specify who owns commercial assessment, legal work, financial analysis, tax review, approvals and final decisions.
Is a partnership assessment the same as acquisition diligence?
No. A partnership may require a different focus on contributions, incentives, decision rights and operating interfaces. The scope should reflect the intended relationship rather than replicate an acquisition checklist.
Can the assessment recommend not proceeding?
The purpose is to inform a decision, not to justify a predetermined result. Findings may support further work, a revised proposal or a decision not to pursue an opportunity. The client retains the investment decision.
What should we send initially?
A non-confidential description of the objective, opportunity and timetable is sufficient for a first discussion. Agree confidentiality and a suitable sharing process before providing sensitive transaction materials.
What changes when a transaction involves Vietnam and China?
The commercial assessment needs to identify which country contributes customers, production, technology, management and supply relationships. Define the information and decision interfaces between entities before combining the findings. Local legal, financial, tax and other specialist reviews are scoped separately for the relevant jurisdictions; commercial coordination does not replace those opinions.
START WITH THE STRATEGIC OBJECTIVE
What should the transaction make possible?
Tell us the business objective, the opportunity under consideration and the questions that need to be resolved before the next decision.
